These Terms of Service (“Terms”) govern your access to and use of the websites, applications, and services provided by Packr, Inc. (“Packr,” “we,” “us,” or “our”), including packr.io and related products (collectively, the “Services”).
By accessing or using the Services, creating an account, or clicking to accept these Terms, you agree to be bound by them. If you are using the Services on behalf of a company or other entity, you represent that you have authority to bind that entity, and “you” refers to that entity. If you do not agree, do not use the Services.
1. The Services
Packr provides software and related tools that help warehouses, 3PLs, and brands manage customer support and related operations. We may update, improve, or modify the Services from time to time. Features may vary by plan, configuration, or region.
We may offer free trials, beta features, or preview functionality. Those offerings may be subject to additional terms and may be changed or discontinued at any time.
2. Accounts and Eligibility
You must provide accurate, current, and complete information when creating an account and keep that information up to date. You are responsible for safeguarding your credentials and for all activity under your account. Notify us promptly at hello@packr.io if you suspect unauthorized access.
You must be at least 18 years old (or the age of majority in your jurisdiction) to use the Services. The Services are intended for business use.
3. Subscriptions, Fees, and Payment
Paid plans are billed according to the pricing, usage metrics, and billing cycle presented at checkout or in your order form. Unless otherwise stated, fees are due in advance and are non-refundable except as required by law or expressly stated in writing.
- You authorize Packr and its payment processors to charge your selected payment method for applicable fees, taxes, and overages.
- If payment fails or your account is past due, we may suspend or limit access until the balance is paid.
- We may change pricing with reasonable notice for the next renewal period. Continued use after the effective date constitutes acceptance of the new pricing.
- You are responsible for any taxes associated with your purchase, excluding taxes based on Packr’s net income.
If you purchase through a free trial, your subscription may convert to a paid plan at the end of the trial unless you cancel before the trial ends, as described at signup.
4. Customer Content and Data
You retain ownership of content, data, and materials you submit to or process through the Services (“Customer Content”), including operational data and end-customer information you choose to process.
You grant Packr a non-exclusive, worldwide license to host, copy, process, transmit, and display Customer Content solely as needed to provide, maintain, secure, and improve the Services, and as otherwise permitted by these Terms or your instructions.
You represent and warrant that you have all rights and consents necessary to submit Customer Content to the Services and that your use of Customer Content complies with applicable law and any agreements with your end customers.
Our handling of personal information is described in our Privacy Policy. Where Packr processes personal data on your behalf as a service provider / processor, that processing is also subject to any data processing terms we enter into with you.
5. Acceptable Use
You agree not to, and not to allow others to:
- Use the Services in violation of any law, regulation, or third-party right;
- Upload or transmit malware, or attempt to gain unauthorized access to the Services or related systems;
- Interfere with or disrupt the integrity, performance, or security of the Services;
- Reverse engineer, decompile, or attempt to extract source code except to the extent such restriction is prohibited by law;
- Resell, sublicense, or provide the Services to third parties except as expressly permitted;
- Use the Services to send spam, phishing, or other abusive communications;
- Circumvent usage limits, access controls, or billing mechanisms; or
- Use the Services to process content that is unlawful, harmful, or infringing.
We may investigate suspected violations and suspend or terminate access if we reasonably believe these Terms have been breached.
6. Third-Party Services and Integrations
The Services may interoperate with third-party products (for example warehouse management, ecommerce, messaging, or analytics tools). Your use of third-party services is governed by their terms and privacy policies. Packr is not responsible for third-party services and does not warrant their availability, accuracy, or security. Enabling an integration may involve sharing Customer Content with that third party as directed by you.
7. Intellectual Property
Packr and its licensors own all right, title, and interest in and to the Services, including software, interfaces, documentation, logos, and trademarks, and all related intellectual property rights. These Terms do not grant you any rights in Packr’s name, logos, or brand assets except as needed to use the Services as permitted.
Feedback you provide about the Services may be used by Packr without restriction or obligation to you.
8. Confidentiality
Each party may receive non-public information from the other that is marked confidential or that a reasonable person would understand to be confidential (“Confidential Information”). The receiving party will use Confidential Information only to perform under these Terms and will protect it with at least reasonable care. Confidential Information does not include information that is or becomes public through no fault of the receiving party, was rightfully known without confidentiality obligation, or is independently developed.
9. Disclaimers
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, PACKR DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR THAT DATA WILL NEVER BE LOST OR CORRUPTED.
You are responsible for backing up Customer Content and for verifying that the Services meet your operational and compliance requirements.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, PACKR AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES, REGARDLESS OF THE THEORY OF LIABILITY AND EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, PACKR’S TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES WILL NOT EXCEED THE AMOUNTS PAID BY YOU TO PACKR FOR THE SERVICES DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM (OR, IF NO FEES WERE PAID, ONE HUNDRED U.S. DOLLARS).
Some jurisdictions do not allow certain limitations; in those cases, the above limitations apply to the fullest extent permitted.
11. Indemnification
You will defend, indemnify, and hold harmless Packr and its affiliates, officers, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) Customer Content; (b) your use of the Services in violation of these Terms or applicable law; or (c) your breach of these Terms.
12. Term, Suspension, and Termination
These Terms remain in effect while you use the Services. You may stop using the Services and cancel your account according to the cancellation options available in the product or by contacting us. We may suspend or terminate access immediately if you breach these Terms, if required by law, or if needed to protect the Services or other users.
Upon termination, your right to use the Services ends. Sections that by their nature should survive (including ownership, confidentiality, disclaimers, limitations of liability, indemnification, and governing law) will survive termination. We may delete or retain Customer Content in accordance with our data practices and legal obligations after termination.
13. Changes to the Services or Terms
We may modify these Terms from time to time. When we do, we will update the “Last updated” date and, where appropriate, provide additional notice. If a change is material, we will take reasonable steps to notify you (for example by email or in-product notice). Your continued use of the Services after the updated Terms become effective constitutes acceptance. If you do not agree, you must stop using the Services.
14. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law principles. Except where prohibited by law, exclusive venue for any dispute arising out of or relating to these Terms or the Services will be the state or federal courts located in Delaware, and you consent to personal jurisdiction there.
Before filing a claim, you agree to try to resolve the dispute informally by contacting hello@packr.io. Nothing in these Terms limits either party’s right to seek injunctive or other equitable relief for intellectual property or unauthorized access issues.
15. Export and Sanctions
You may not use, export, or re-export the Services except as authorized by U.S. law and the laws of the jurisdiction in which the Services are used. You represent that you are not located in a sanctioned country and are not a prohibited party under applicable trade laws.
16. Miscellaneous
- Entire agreement. These Terms, together with any order form, data processing terms, and policies referenced herein (including the Privacy Policy), constitute the entire agreement between you and Packr regarding the Services and supersede prior agreements on the subject.
- Severability. If any provision is found unenforceable, the remaining provisions remain in effect.
- Waiver. Failure to enforce a provision is not a waiver of that provision.
- Assignment. You may not assign these Terms without our prior written consent. We may assign them in connection with a merger, acquisition, or sale of assets.
- Force majeure. Neither party is liable for delays or failures caused by events beyond reasonable control.
- Notices. We may provide notices by email, in-product message, or posting on the Services. Notices to Packr should be sent to hello@packr.io.
- Relationship. The parties are independent contractors. These Terms do not create a partnership, joint venture, or employment relationship.
